Insider to outsiders

Any reasonable lay reading of how David Sokol bought and sold Lubrizol shares shows a violation of the spirit of insider trading rules. Yet lawyers consider the situation a fuzzy one. If a case isn’t attempted, it will make a mockery of U.S. law, the securities watchdog, or both.
