Shareholders should vote down plans to give Thyssen the right to nominate 3 directors without putting them to a shareholder vote. This is a clear breach of corporate governance guidelines. If Thyssen has a plausible explanation, it is not letting on. Shareholders should reject plans to give the Krupp Foundation the right to nominate 3 directors without putting them to a shareholder vote.
