Terms of Use

  1. You hereby subscribe to Reuters service known as “Breakingviews” (thePublication”) in accordance with these Terms of Use and the provisions of your Order Form. Your subscription entitles you and/or your authorize user(s) (each a “User”) to access the Publication at www.breakingviews.com or the Breakingviews mobile app. In addition, you and your Users will receive an email alert service which has an opt-out option.
  2. We may, at our discretion, cancel the Publication at any time on written notice to you. In such case we will refund to you any charges paid in advance in relation to a cancelled subscription unless the cancellation arose from your default or misconduct. We may revise or amend the content or nature of the Publication at any time.
  1. All charges and any applicable sales tax shall be paid within 30 days of date of invoice for the same. If your Order Form indicates that your subscription will automatically renew for additional renewal term periods, then we may, effective on the first day of each January, annually or upon renewal adjust or change the basis for calculating any recurring charges on not less than 3 months prior notice to you. You may cancel the Publication if we increase the charges by more than the greater of 5% or the change in the OECD CPI. If you exercise this right to cancel, you must notify us within 90 days of the date of our notice. The relevant Publication will be cancelled from the date on which the charges would have increased.
  1. Redistribution of the daily email alerts (which include headlines, 3-5-line summaries and the URL) is permissible. You may not copy, scan, duplicate, resell, forward or distribute full articles of the Publication under any circumstances (for avoidance of doubt, this includes any emails that include full articles).  For Publications accessed online, only authorized Users, as notified to Reuters, may view the Publication and no sharing or transferring of User IDs is permitted without the consent of Reuters. If an authorized User is a contractor to you, you will procure that the contractor complies with the applicable terms. In the case the current User has left, the subscription will be transferred to a new named User. You are responsible for the acts of your Users in relation to their use of their User IDs and their access to and use of the Publication and the content contained therein.
  1. Except as set out in these Terms of Use, all representations, warranties, terms and conditions, oral or written, whether express or implied (by common law, statute or otherwise) in relation to the Publication are hereby excluded to the fullest extent permitted by law.
  1. The Publication is provided for information purposes only. The Publication does not provide tax, legal or investment advice or opinion regarding the suitability, value or profitability of any particular security, portfolio or investment strategy. The Publication may contain third party advertisements (including links to other websites or services). Any dealings you have with any third-party advertisers are solely between you and such advertiser. We accept no liability in contract, tort or otherwise for (i) any error in Publication; (ii) for the consequences of reliance by you on the Publication (or any specific content contained therein) or (iii) for any delays in the Publication.

To the extent permitted by applicable law, we will not under any circumstances be liable in contract or tort or otherwise for indirect, consequential, special or incidental damages or loss including loss, whether direct or indirect, of profits, business, wasted management time or anticipated savings nor for any type of indirect loss however it may arise, even if we have been advised of the possibility.

You acknowledge that all rights in the Publication and the content contained therein, including copyright, database rights, and trademarks, are the property of Reuters or its third-party licensors. Except as explicitly set forth herein, you have no right use the Publication or the content contained therein.

Any submission by you or your Users of personal information to us is governed, as applicable, by the Privacy statement, located at https://www.thomsonreuters.com/en/privacy-statement.html and the GDPR Annex available at https://www.thomsonreuters.com/en/resources/thomson-reuters-privacy-information.html?refresh=true. Each party will at all times comply with Data Protection Legislation in respect of its processing of Personally Identifiable Information. You confirm that any Client Personal Data has been collected and disclosed in accordance with Data Protection Legislation. You shall not input, upload, maintain or disclose any irrelevant or unnecessary information about individuals to us. The parties shall use reasonable efforts to assist one another in relation to the investigation and remedy of any claim, allegation, action, suit, proceeding or litigation with respect to alleged unauthorized access, use, processing or disclosure of Personally Identifiable Information. Each party will maintain, and will require all third party data processors each such party engages to maintain, appropriate physical, technical and organizational measures to protect Personally Identifiable Information against accidental, unauthorised or unlawful destruction, loss, alteration, disclosure or access. As used herein, the Client Personal Data” means Personally Identifiable Information made available or uploaded by, or on behalf of, you and processed by Reuters in connection with your subscription.Data Protection Legislation” means legislation relating to an individual’s right to privacy with respect to the processing of Personal Identifiable Information which is applicable to a party from time to time. Personally Identifiable Information” means personal data (as such term is defined in Data Protection Legislation) processed in connection with your subscription or otherwise in relation to the Order Form.
